A 2024-2025 pattern saw big players license technology and hire founding teams without buying the company outright, to sidestep antitrust review, as with Microsoft-Inflection, Amazon-Adept, Google-Character.AI, and the Windsurf saga split between Google and Cognition. These structures concentrate scarce AI talent while evading merger scrutiny. They are a distinctive governance and competition-policy feature of this cycle.
